Applicability of Secretarial Audit as per the Companies Act, 2013
As per Section 204 of the Companies Act, 2013, read with Rule 9 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, the following companies shall obtain a secretarial audit report from a Company Secretary in Practice:
► Listed companies
► Public companies

having a paid-up share capital of INR 50 Cr or more.

having a turnover of INR 250 Cr or more.
► Every other company
having outstanding loans or borrowings from banks or public financial institutions of INR 100 Cr or more.
